Thank you for your interest in SEMCO LeadLink ("Site"). This End User License Agreement ("Agreement") governs your access to and use of the Site. By registering for an account on the Site, you agree to be bound by the terms and conditions of this Agreement.
1.1 You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Site. 1.2 By registering for an account, you represent and warrant that all information you provide is true, accurate, current, and complete. 1.3 You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.
2.1 You may use the Site only for lawful purposes and in accordance with this Agreement. 2.2 You agree not to use the Site in any way that could damage, disable, overburden, or impair the Site or interfere with any other user's enjoyment of the Site. 2.3 You agree not to use the Site to obtain unauthorized access to any other computer system or network. 2.4 You agree not to transmit any spam, unsolicited communications, or other promotional materials. 2.5 You agree not to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
3.1 You may choose to submit information, data, or other content to the Site ("User Content"). 3.2 You retain all ownership rights in your User Content. However, by submitting User Content to the Site, you grant us a non-exclusive, royalty-free, worldwide license to use, modify, publish, and translate your User Content for the sole purpose of providing and improving the Site and the services offered through the Site. 3.3 You are solely responsible for any User Content you submit to the Site. 3.4 You agree that your User Content will not violate or infringe upon the rights of any third party, including copyright, trademark, privacy, or other personal or proprietary rights.
4.1 The Site connects you with companies that may be interested in providing you with information or services ("Companies"). 4.2 When you express interest in a Company on the Site, we may share your contact information (such as name, email address, and phone number) with that Company. 4.3 You acknowledge and agree that by using the Site, you consent to the sharing of your contact information with Companies you express interest in. 4.4 We are not responsible for the content of any communications you receive from Companies. 4.5 We do not endorse or recommend any Company, and we make no representations or warranties about the quality, suitability, or safety of any products or services offered by Companies.
5.1 THE SITE IS PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. 5.2 WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 5.3 WE DO NOT WARRANT THAT THE INFORMATION PROVIDED ON THE SITE IS ACCURATE, COMPLETE, OR RELIABLE.
6.1 IN NO EVENT SHALL WE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.1 This Agreement shall remain in full force and effect while you use the Site. 7.2 We may terminate this Agreement or suspend your access to the Site at any time, with or without cause, upon written notice to you. 7.3 You may terminate this Agreement by deleting your account on the Site.
8.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.
9.1 This Agreement constitutes the entire agreement between you and us with respect to the use of the Site and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
